DISPATCH RIDER AGREEMENT

BETWEEN
SANDY OGOGO OLUWABUKOLAMI of 9B Victoria Nest Alternative Route,
Chevron Lekki Lagos State (hereinafter called the OWNER which term shall
include her successors and assigns) on the ONE PART.
AND

INNOCENT CHUDY of No 4, Alternative Route, John Great Court, Lekki


Lagos hereinafter called THE RIDER which term shall include his successors
and assigns) on the OTHER PART.
Whereas:
1. The Owner is the owner of all that Motor Cycle with Registration
Number: WWD120QX Engine No: QL164FMLLT201915, Chasis No:
QKLPMC02LT202118 and Colour: Black herein after referred to as
THE BIKE
2. The Rider is a business man in the business of dispatch riding and
logistic deliveries.
3. The Owner is desirous of releasing the BIKE to the Rider and in
furtherance of his business and financial consideration stated herein
the Rider is willing and desirous of accepting the BIKE.
4. The parties therefore agree that their relationship should be governed
as follows:

NOW THIS AGREEMENT WITNESS THE TERMS AND CONDITIONS AS


FOLLOWS:

1. COMMENCEMENT
a) This agreement shall be deemed to commence the day the Rider take
the custody of the BIKE, notwithstanding the date of execution of this
agreement.
b) All the responsibilities and obligations under this agreement shall arise
upon the commencement of this agreement.

2. FINANCES
a) The Rider shall have the duty of putting the bike to work on his own
volition, orders and demands. The Rider shall generate minimum of
N30,000.00 (Thirty Thousand Naira) per week.
b) The Owner shall be entitled to consideration of N20,000.00 (Twenty
Thousand Naira) weekly, upon releasing the BIKE to the Rider. The
said money shall be payable every Saturday on or before the close of
work every successive Saturdays.
c) The said sum stated in 2(b) above shall be paid directly by the RIDER
into the account details of the OWNER provided as follows:

d) The Owner shall bear the cost of servicing the BIKE when the need
arises. The owner shall not unreasonably withhold her duty to service
the bike.
e) The financial consideration stated above shall be reviewable after 1
year of the commencement of this agreement.

3. DOCUMENTATION, MAINTENANCE AND REPAIRS

a) The Owner covenants that the BIKE is new and in a very good state
and its fit for the purpose on which the Rider might need/use it for.
The Rider hereby covenants that he takes the custody of the BIKE
upon being satisfied that the BIKE has been tested and satisfactory to
him.
b) The Owner shall handover counterpart copy of proof of ownership
and other documents in respect of the BIKE to the Rider.
c) The cost of fuelling the BIKE shall be on the Rider, in as much he has
the custody of the BIKE.
d) The cost of registration or renewing the papers of the BIKE shall be on
the Owner.
e) The Rider shall exercise reasonable care while using the BIKE and
shall be responsible for any damage that arises as a result of his
negligence or any of his employees or assignees making use of the
BIKE.
f) The Rider shall ensure that the BIKE is in good state at all times.
g) The Rider shall communicate to the Owner periodically the state of
the BIKE.
h) The cost of repairing any damage (not as a result of negligence of the
Rider either as a result of accident or unforeseen circumstance) that
occur to the BIKE shall be borne by both parties in equal measures.
i) The Rider shall not take the bike for repairs without consent of the
owner. Any repair to the bike shall be initiated and jointly supervised
by the two parties.
j) The Owner shall not unreasonably neglect/refuse to do any repair
that might concern him as stated in 3(h) above. Default of which shall
constitute material breach of this agreement and the Rider shall take
legal step to enforce same.
k) The Rider shall not use the BIKE for any illegal purpose or use it to
transport ammunition, hard drugs or any contra band objects.
l) The Rider shall not reregister the BIKE in its name or sell, hire or
lease the BIKE to a third party without express written permission of
the Owner.
m) In case the Owner has personal parcels to be delivered using the bike,
she shall pay for such service at the current commercial rate.

4. INDEMITY

a) The Rider is entering this agreement on the assurance that the
vehicle belongs to the Owner and it is fully registered with
appropriate government authorities.
b) The Owner shall indemnify the Rider of any loss, damages or
business frustration or seizure that arises as a result of the Owner
ownership or registrations of the BIKE.

5. TERMINATION
a) This agreement shall continue until the parties mutually terminate it.
b) In case the Rider desires to terminate this agreement, he shall give
the Owner one month notice of termination prior to the date of
termination and shall pay her all outstanding financial obligations.
c) In case the Owner desires to terminate this agreement, she shall give
the Rider one month prior notice and all outstanding expenses shall
be payable to him.
d) In case of termination, the Rider shall deliver the BIKE back to the
Owner in a good state and working condition.

6. INSURANCE
a) The Owner shall insure the BIKE with a recognized insurance
institution in Nigeria against fire accident, third party insurance, theft
and other risks.
b) The cost of renewing the insurance policy shall be on the Owner.
c) The insurance sum shall be receivable by the Owner and shall
reimburse the Rider of any cost of damage protected under the
insurance policy.

7. GOOD FAITH
a) Parties shall deal with each other in good faith and fairness.
b) The Rider shall handle the BIKE diligently and exercise maximum
caution while under his custody.
c) This agreement shall confer on the party, intention to create legal
relation.

8. REMEDIES AND DEFAULT


a. Where THE RIDER fails to pay the consideration as stated in 2 above
to THE OWNER on the due date, THE RIDER shall give a written
notice of default to THE OWNER not later than 2 days after the due
date, and shall include in the notice, the date on which that
consideration shall be redeemed, in so far as the date of redemption
shall be not later than the due date for the next due date.
b. Where THE RIDER defaults on two successive due dates, THE
OWNER shall give RIDER 2 (two) weeks written notice of intention to
terminate the Agreement.
c. Where RIDER fails to remedy the default at the expiration of the 1
month notice, THE OWNER shall have the right to terminate this
agreement and demand the outstanding considerations.

d. The recovery of the consideration herein shall be done through legal
process only.

9. GOVERNING LAW:
a. The parties agree that this Agreement and all matters incidental
thereto shall be governed by and construed in accordance with the
Laws of the Federal Republic of Nigeria.
b. All questions, interpretations and disputes between the parties as to
any matter, rights and obligation arising or in connection with this
agreement shall be referred to Arbitration in Nigeria before a single
Arbiter to be appointed in Accordance with the Arbitration and
Conciliation Act Cap A.19 Laws of the Federation of Nigeria 2004.

10 NOTICES:
All Notices required to be given under this Agreement by either party
to the other shall be given in writing and shall be sufficiently served
upon the other party when received via Land delivery or electronic
medium.
11 GOVERNING LAW:
a) The parties agree that this Agreement and all matters incidental
thereto shall be governed by and construed in accordance with the
Laws of the Federal Republic of Nigeria.
b) All questions, interpretations and disputes between the parties as to
any matter, rights and obligation arising or in connection with this
agreement shall first of all be referred to Arbitration in Nigeria before a
single Arbiter to be appointed in Accordance with the Arbitration and
Conciliation Act Cap A.19 Laws of the Federation of Nigeria 2004.
c) The Arbitration shall, where possible be held and concluded within
thirty days of it having been demanded. The Parties shall use their best
endeavours to procure the expeditious completion of the arbitration.

12 FORCE MAJEURE:
THE Rider shall not be liable for any failure to perform its obligations
under this Agreement, if such failure is attributed to an event of Force
Majeure, including but not limited to Acts of God, usually severe
weather conditions, restrains, Civil commotion, pandemic, breakdown
of law and/ order and threat.

IN WITNESS WHEREOF the parties executed this agreement in the day and
year first above written.
