Terms of Service

1. Acceptance of Terms
By accessing and using CostGuard ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this service.
These Terms of Service apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and/or contributors of content.
2. Service Description
CostGuard is a cloud cost optimization platform that helps businesses manage and reduce their AWS infrastructure costs through automated resource scheduling, policy management, and cost analytics.
3. Account Registration and Security
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept all responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You are responsible for all activities that occur under your account, whether or not you authorized such activities. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.
4. Subscription Plans and Billing
4.1 Subscription Plans
CostGuard offers multiple subscription plans (Free, Basic, Pro, Business, and Enterprise) with different features and resource limits. Current plan details and pricing are available on our pricing page.
4.2 Billing Cycle
Paid subscriptions are billed on a monthly basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
4.3 Payment
Payment processing is handled by Paddle, our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You agree to provide current, complete, and accurate payment information.
4.4 Price Changes
We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period and will take effect at your next renewal. We will provide at least 30 days' notice of any price increases.
4.5 Taxes
All fees are exclusive of applicable taxes (including VAT, sales tax, or other transaction taxes), which will be added to your invoice as required by law.
5. Plan Changes and Cancellation
5.1 Upgrades
You may upgrade your subscription plan at any time. Upgrades are prorated, and you will be charged the difference immediately. The new plan takes effect immediately upon upgrade.
5.2 Downgrades
You may downgrade your subscription plan at any time, subject to resource limit validation. Downgrades take effect at the end of your current billing period. You will not receive a refund for the unused portion of your current billing period. If your current resource usage exceeds the target plan's limits, you must reduce your usage before the downgrade can be processed.
5.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. You will retain access to paid features until the end of your billing period. No refunds will be provided for partial billing periods.
5.4 Account Deletion
If you delete your account, all your data will be permanently deleted within 30 days. This action cannot be undone. Active subscriptions must be cancelled before account deletion.
6. Refund Policy
6.1 General Policy
All subscription fees are non-refundable except as expressly stated in this section or as required by applicable law.
6.2 First-Time Subscription
If you are not satisfied with your first paid subscription, you may request a full refund within 14 days of your initial purchase. This refund policy applies only to your first paid subscription and does not apply to renewals or subsequent subscriptions.
6.3 Service Outages
If the Service experiences an unscheduled outage lasting more than 24 consecutive hours, you may be eligible for a prorated credit for the affected period. Credits must be requested within 7 days of the outage and are issued at our sole discretion.
6.4 Refund Process
To request a refund, contact us at hello@costguard.dev with your account details and reason for the refund request. Approved refunds will be processed within 10 business days to your original payment method.
6.5 No Refunds For
- Subscription renewals
- Partial billing periods when you cancel or downgrade
- Unused features or services within your plan
- Account suspension or termination due to Terms of Service violations
- Changes in your business needs or circumstances
7. AWS Integration and Permissions
To use CostGuard, you must grant us access to your AWS account through IAM roles. You are responsible for:
- Properly configuring IAM roles and permissions
- Ensuring the security of your AWS credentials
- Understanding the actions CostGuard will perform on your behalf
- Monitoring and reviewing all automated actions
- Any costs incurred in your AWS account
CostGuard will only perform actions you explicitly authorize through policies and configurations. We are not responsible for any unintended consequences resulting from misconfigured policies or permissions.
7.1 Resource Tagging and Policy Configuration
CostGuard operates based on resource tags, environment assignments, and policy schedules that YOU configure. The Service will start, stop, or modify resources according to your configurations, regardless of the resource type or criticality.
YOU ARE SOLELY RESPONSIBLE FOR:
- Correctly tagging resources that should be managed by CostGuard
- Excluding critical resources that should never be stopped (e.g., production databases, instance-store backed instances, stateful services)
- Configuring appropriate policies and schedules for each environment
- Testing policies in non-production environments before applying to production
- Understanding the impact of stopping specific resource types (e.g., instance-store data loss, service interruptions)
- Implementing appropriate safeguards, overrides, and protection mechanisms
- Regularly reviewing and auditing automated actions
COSTGUARD IS NOT LIABLE FOR:
- Data loss from stopping instance-store backed instances
- Service interruptions caused by stopping critical resources
- Business losses resulting from misconfigured policies or tags
- Unintended resource state changes due to incorrect environment or tag assignments
- Any consequences of automated actions performed according to your configurations
The Service provides tools for resource protection, policy overrides, and manual controls. It is your responsibility to use these features appropriately to protect critical infrastructure.
WARNING: Stopping certain AWS resources (such as instances with instance-store volumes, RDS databases, or production services) can result in permanent data loss or service outages. Always verify your configurations before enabling automated policies.
8. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or viruses
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use the Service for any illegal or unauthorized purpose
- Resell or redistribute the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
We reserve the right to suspend or terminate your account immediately if we determine you have violated this Acceptable Use Policy.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your data as described in our Privacy Policy.
You retain all rights to your data. We will not access, use, or disclose your data except as necessary to provide the Service or as required by law.
10. Service Availability and Support
10.1 Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible.
10.2 Support
Support is provided via email at hello@costguard.dev. Response times vary by subscription plan. Business and Enterprise plans may include additional support options.
11. Intellectual Property
The Service and its original content, features, and functionality are owned by CostGuard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy or completeness of any cost estimates or savings calculations.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSTGUARD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Actions taken by the Service on your AWS resources, including but not limited to starting, stopping, or modifying resources
- Data loss from stopping instance-store backed instances or other stateful resources
- Service interruptions or downtime caused by automated resource management
- Misconfigured policies, tags, schedules, or environment assignments
- Any consequences of resource state changes performed according to your configurations
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
YOU ACKNOWLEDGE AND AGREE THAT COSTGUARD ACTS SOLELY AS AN AUTOMATION TOOL THAT EXECUTES YOUR CONFIGURATIONS. WE DO NOT MAKE DECISIONS ABOUT WHICH RESOURCES TO MANAGE OR WHEN TO MANAGE THEM. ALL SUCH DECISIONS ARE MADE BY YOU THROUGH YOUR POLICY CONFIGURATIONS, RESOURCE TAGS, AND ENVIRONMENT ASSIGNMENTS.
14. Indemnification
You agree to indemnify, defend, and hold harmless CostGuard and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any actions taken by the Service on your AWS resources based on your configurations
15. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
We encourage you to review these Terms periodically for any changes.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CostGuard operates, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or violations of the Acceptable Use Policy.
18. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CostGuard regarding the Service and supersede all prior agreements and understandings.
